1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of basaltbio.com (the "Site") and any products, services, or content offered by Basalt Bio. By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and our Privacy Policy and Research Disclaimer. If you do not agree, do not use the Site.

2. Eligibility

You must be at least twenty-one (21) years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. By using the Site, you represent and warrant that you meet these requirements.

You further represent that you are purchasing solely for in vitro laboratory research and not for personal use, human or animal consumption, or any purpose regulated by the U.S. Food and Drug Administration or any equivalent agency in your jurisdiction.

3. Research Use Only

ALL PRODUCTS SOLD BY BASALT BIO ARE FOR RESEARCH USE ONLY ("RUO"). Products are not:

drugs, supplements, food, cosmetics, or medical devices;
approved or intended for human or animal consumption;
intended to diagnose, treat, cure, prevent, or mitigate any disease or medical condition;
evaluated, endorsed, or approved by the U.S. Food and Drug Administration, EMA, or any comparable regulatory body.

By purchasing, you acknowledge that you are a qualified researcher, or are acting under the direction of a qualified researcher, and will handle the products in a manner consistent with applicable safety and ethical standards.

4. Accounts

You may create an account to track orders and participate in our BEDROCK rewards program. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us immediately of any unauthorized access at security@basaltbio.com.

We reserve the right to suspend or terminate any account at our discretion, including for violations of these Terms, suspected fraud, or activity inconsistent with research use.

5. Orders & Pricing

All orders are subject to acceptance. We may refuse or cancel any order for any reason, including suspected misuse, pricing errors, inventory issues, or compliance concerns. Prices are displayed in U.S. dollars and are subject to change without notice. A price listed at the time you place an order governs that transaction, provided the order is accepted.

6. Payment

We accept credit and debit cards, ACH transfers, and select cryptocurrencies. For ACH and cryptocurrency transactions, your order will ship only after payment is confirmed. You authorize us to charge your selected payment method for the full amount, including any applicable taxes and shipping.

You represent that any payment method you use is yours and that you are authorized to make charges against it.

7. Shipping

We ship only within the United States. Shipping options, timing, and fees are described on the Shipping page. Title and risk of loss pass to you upon delivery to the carrier. We are not responsible for delays caused by carriers, customs, weather, or events outside our control.

8. Returns & Refunds

All sales are final. Due to the nature of research compounds, we cannot accept returns once an order has shipped.

Exceptions: if we ship the wrong item, or the item arrives damaged or visibly compromised, contact returns@basaltbio.com within five (5) days of delivery with order number, lot, and photographs. We will, at our discretion, replace the item or issue a refund. Full details on the Refund Policy page.

9. BEDROCK Rewards

BEDROCK is our loyalty program. You earn one (1) point per one U.S. dollar ($1.00) of product subtotal (excluding taxes, shipping, and discounts). For every two hundred (200) points, you receive a twenty-dollar ($20) promotional code by email, redeemable on subsequent orders.

Tier perks (Obsidian, Basalt, Granite) are described on the Site. Points have no cash value, cannot be transferred, and expire only if your account is closed or terminated. We may modify the program at any time, but changes will not reduce points you have already earned.

10. Intellectual Property

The Site and all content on it — including text, graphics, logos, product names, imagery, and code — are owned by or licensed to Basalt Bio and protected by U.S. and international intellectual property law. You may view and use the Site for personal, non-commercial reference only. Any other use requires our prior written consent.

11. Prohibited Conduct

You agree not to:

use the Site or products for any unlawful purpose or in violation of any applicable regulation;
resell, redistribute, or repackage products for any use other than laboratory research;
administer any product to a human being or living animal;
make any health, therapeutic, or medical claim about any product, on any platform;
scrape, mirror, or reverse-engineer the Site or its systems;
circumvent age gates or verification measures;
use another person's identity or payment method without authorization.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted or error-free, or that products will meet your specific research requirements.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASALT BIO, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of these Terms or the products shall not exceed the amount you paid for the specific product giving rise to the claim in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Basalt Bio, Puget Sound Research LLC, and their members, officers, employees, and affiliates from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of: (a) your use or misuse of any product, including any administration to a human or animal; (b) your breach of these Terms; (c) your violation of any law or third-party right.

15. Arbitration & Class Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the products — whether in contract, tort, statute, or otherwise — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Seattle, Washington, unless you and we mutually agree otherwise.

You and Basalt Bio each waive the right to a trial by jury and the right to participate in any class, consolidated, or representative action. If any portion of this arbitration provision is found unenforceable, the remainder shall remain in effect. This provision does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for misuse of intellectual property.

You have the right to opt out of arbitration by mailing written notice within thirty (30) days of your first purchase to: Puget Sound Research LLC, 325 Harvard Ave E #501, Seattle, WA 98102, Attn: Legal.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Subject to the arbitration provision above, exclusive venue for any court action lies in the state and federal courts located in King County, Washington.

17. Modifications

We may update these Terms at any time. The "Effective" date at the top reflects the latest revision. Your continued use of the Site after changes constitutes acceptance. Material changes will be announced on the Site or by email to account holders.
